OFFICIAL RULES FOR SISYPHUS
TRACK MAKING CONTEST

NO PURCHASE NECESSARY TO ENTER OR WIN THIS CONTEST. THIS CONTEST IS VOID WHERE PROHIBITED BY LAW.

Eligibility:
Contest participants must be a U.S. resident and at least 18 years of age at the time the contest begins. The Sisyphus Track Making Contest (“Contest”) is void outside the United States or where prohibited or restricted by law.

This Contest is sponsored by Sisyphus Industries, LLC (“Sponsor”). All employees, officers, directors and agents and their immediate families or any members of their households, regardless of relationship, of Sponsor or any advertising agency or other company involved with the design, production, execution or distribution of this Contest are not eligible to participate in the Contest or to win any prizes. Any Contest entries received from an ineligible participant will be disqualified. By participating in this Contest, entrants accept and agree to be bound by these rules and the decisions of Sponsor, which shall be final on all matters. Sponsor reserves the right to modify the rules of the Contest in any way at any time, subject to state or federal law.

Contest Period: The Contest begins on October 3rd, 2022 at 12:00Am, and ends on October 16th at 11:59pm (“Contest Period”). All entries must be received, recorded, and have their compatibility with Sisyphus tables verified by Sponsor during the Contest Period to be eligible.

How To Enter:
You can enter the Contest by submitting an application form and uploading a kinetic art track (a “Track”) in a THR or SVG file format at https://sisyphus.wishpondpages.com/track-design-contest-algorithmic-entry/ (together, the “Entry”). The Track must be compatible with Sisyphus tables to be eligible. Entries may be submitted into either the algorithmic or freestyle categories. The algorithmic category consists of geometric and abstract tracks that do not depict anything figuratively and use math or code-based tools (“Algorithmic Category”). The freestyle category consists of figurative and illustrative designs using traditional hand-drawing methods (“Freestyle Category”). The category of any submitted Track is determined in Sponsor’s sole discretion.

By entering, each participant warrants that his or her Entry: (1) is original and does not infringe the intellectual-property rights of any third party; (2) has not been published in any medium; (3) has not won an award; and 4) does not contain images that are obscene, pornographic, libelous, or otherwise objectionable. By entering, each participant represents that the participant owns or has the rights to convey any and all right and title in such Entry. Multiple entries per person permitted. However, duplicate or near duplicate entries, as determined in Sponsor’s sole discretion, will be rejected for entry in the Contest (all together, the “Entry Requirements”). Any Entry that, in Sponsor’s good faith judgment, violates the Entry Requirements will be disqualified.

Sponsor is not responsible for a lost, misdirected, late, unsent, incomplete, illegible or unintelligible Entry or for inaccurate information included on any Entry, whether caused by the participant or by any of the equipment or programming associated with or utilized in this Contest, or by any technical or human error that may occur in the transmittal of any Entry or the processing of any function on the entrant’s computer system. Participant must notify Sponsor of any changed contact information within the Contest Period to remain eligible to win. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the Entry process or the operation of the Contest; to be acting in violation of these rules; or to be acting with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, programmed or similar response methods will void all such entries submitted by such methods.

By submitting an Entry, you agree to these Contest Rules and the judges’ decisions, which are final and binding in all respects. You agree that any Entry submitted may be modified in any way by Sponsor if Sponsor deems necessary. You certify that you are the sole creator of the submitted Entry. Sponsor shall have no obligation (express or implied) to use any Entry or Track created by the an entrant, and Sponsor may at any time abandon the use of the Entry or Track for any reason, with or without legal justification or excuse, and contestants shall not be entitled to any damages or other relief by reason thereof.

By participating in the Contest, each entrant irrevocably grants Sponsor and its respective successors, assigns and licensees, the right to use such entrant’s name, likeness, biographical information and Entry in any and all media in connection with the Contest or the marketing and promotion thereof and hereby release Sponsor from any liability with respect thereto. Entrant also agrees that Sponsor may share and publicly post the Entry in any media anywhere in the world.

Prizes and Selection of Winners:
Contest participants will submit their Entries for a chance to win a Sisyphus metal side table. Four contest participants will be selected. The approximate retail value of each of the four prizes is $1,500 for a total value of $6,000 USD.

Two of the winners will be selected based on receiving the highest number of votes. At the conclusion of the Contest Period, all eligible Entries will be posted on the Sisyphus contest gallery page at https://sisyphus.wishpondpages.com/track-design-contest-algorithmic-vote/. Visitors will have the opportunity to vote on the Entry they like the best from October 18th, 2022 to October 27th, 2022 (“Voting Period”). Votes for each Submission will be privately tracked.

• One (1) Submission from Algorithmic Category that receives the highest number of votes during the Voting Period will be selected as a winner; and
• One (1) Submission from Freestyle Category that receives the highest number of votes during the Voting Period will be selected as a winner.

Any entrant offering or using, or attempting to use a “cheat,” payment, or other incentive, or any other means to obtain votes will be disqualified and any votes earned by those means will be void in Sponsor’s sole discretion.

Two of the winners will be selected by a judging panel. On or about October 27rd, 2022, a panel of judges selected by Sponsor will select two winners from all eligible Entries based upon the following criteria: 33% Artistic Merit; 33% Technique (referring to ingenuity in use of sand drawing medium); and 34% Originality (the “Judging Criteria”).

• One (1) Submission from Algorithmic Category will be selected as a winner based on Judging Criteria administered by the Judging Panel; and
• One (1) Submission from Freestyle Category will be selected as a winner based on Judging Criteria administered by the Judging Panel.

The chances of winning depend on the number of Entries received. No transfer, assignment, cash redemption or substitution of any prize is permitted, except by Sponsor due to prize availability and then with a prize of equal or greater value. Each participant may receive a 10% discount coupon, at the discretion of Sponsor.

Sponsor will notify each winner individually by Email. Winners must respond within five (5) business days of being notified or the prize may be forfeited and another Contest participant chosen.

Each winner must satisfactorily complete an affidavit of eligibility showing compliance with these Contest Rules, and each winner must also sign a liability and publicity release, allowing Sponsor to use his or her information for advertising or other purposes. Failure to complete these forms may result in forfeiture of the prize. In the event that the winner is disqualified for any reason, Sponsor may select an alternate winner in accordance with the criteria established above.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
Winners are solely responsible for all applicable federal, state or provincial, and local taxes and any expenses associated with any prizes. The Internal Revenue Service requires Form 1099-MISC to be issued and filed for each recipient who received a prize/award if the annual aggregate is at least $600 or more. The Contest has four prizes valued at approximately $1,500 each for a total approximate retail value of $6,000 (USD). In the event the approximate retail value is deemed to exceed the Internal Revenue Service requirement, winners who are residents of the United States of America must complete and submit a W-9 form to receive any prize. The recipient is responsible for any income tax liability and should consult his/her tax advisor for the proper tax treatment of this income on his/her tax return.
Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend this Contest should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or impair the administration, security or fairness of the Contest. Sponsor is not responsible for any human or technological error that may occur in the processing of the Contest nor are they responsible for any error, omission, interruption, deletion, defect, communications line failure, theft or destruction of, unauthorized access to, delay in operation, transmission, or distribution of, or alteration of entries, whether caused by the sender, any of the equipment or programming associated with or utilized in this Contest, or otherwise.

License Grant
By submitting an Entry or accepting a prize, each participant grants to Sponsor a perpetual, irrevocable, royalty-free unlimited, non-exclusive right to use the Entry for any purpose, including marketing and promotional activities, anywhere in the world and in any media. Sponsor may or may not attribute participant’s name with its use of the Entry as determined in Sponsor’s sole discretion. Sponsor aims to attribute whenever possible.

Limitation of Liability and Dispute Resolution
Participants hereby release Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors, from any liability related to any claim of injury, damage, loss or liability to person or property, due in whole or part, directly or indirectly, to the acceptance, possession, use or misuse of any prize or participation in this Contest. Once the prize has been distributed, participants understand that there can be no claims for liability made against the above-named parties.

Except where prohibited, each participant and winner accepting a prize agrees that: (a) all issues and questions concerning these rules shall be governed by Minnesota law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Contest or any prize awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys’ fees; and (d) under no circumstances will any participant or winner be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

Privacy:
All personally identifiable information collected in connection with the Contest will be used by Sponsor in accordance with its online privacy policy, located at https://sisyphus-industries.com/privacy-policy/. Sponsor may engage a third party platform or application provider (a “Third Party Application Provider”) to administer certain aspects of the Contest, including without limitation, the online collection of entry information. Such Third Party Application Provider’s use of your personal information is subject to its own privacy policy. You should carefully review the privacy practices of any third party to determine their specific privacy policies.

Identification of Winners and Official Rules:
For an identification of winners or a copy of the Contest Rules, send a self-addressed, stamped envelope for receipt by October 31st, 2022 to Sisyphus Track Contest, 451 Taft St NE ste 1, Minneapolis, MN 55413, or go to the contest website at https://sisyphus.wishpondpages.com/track-design-contest-algorithmic-entry/. All such requests must be received within six (6) weeks after the end of the Contest Period.
